What Is a 13F Filing, and Why a Bigger Share Count Can Mean Less

The Q3 13F deadline lands Monday, November 16. Here is what the filings show, why they lag, and how to read share changes.

Institutional managers with more than $100 million in qualifying assets must report their holdings as of September 30, and the deadline is Monday, November 16. November 14 falls on a Saturday, so the filing date rolls to the next business day. The filings that arrive next week will describe a portfolio as it stood about six and a half weeks before the report appears.

What does a 13F filing actually show?

A 13F lists a manager's long positions in US-listed equities at quarter end, with share counts and values. Short positions are not part of the filing, so a reduced position can mean a changed view or a changed hedge, and the filing does not say which (Earnings Whispers). Keep that in mind before reading any headline about a fund selling.

Why is 13F data always behind?

The 45-day window is the lag. A 13F filed on May 15 shows holdings as of March 31, six weeks earlier. A manager may have bought or sold again by the time the filing is public. Use the data to see direction over a quarter, not as a live position.

Why can a bigger share count mean less than it looks?

Share counts change for reasons that have nothing to do with a decision. Stock splits and index events move the number of shares without a buy or sell (InvestorLens). A better test is size relative to the portfolio. A stock that rises from 2% of a fund's book to 8% says far more than a jump in shares at a fund that holds millions of them.

How does the Institutions tab show 13F changes?

The Market Overview ranks the most added, most reduced, newly opened and fully closed positions across every 13F filer in EDGAR, not a hand-picked list. Fund search shows one manager's holdings trend for each ticker across several quarters. The overview caches for 25 hours, so a cold cache shows a warming state until the data fills in. Both views carry the same filing lag described above.
