Company officers, directors, and large shareholders are required to disclose open-market purchases and sales of their own company's stock to the SEC within a few business days, on a form called a Form 4. Because insiders are presumed to know their own business better than the public does, clusters of insider buying or selling are watched as a rough sentiment signal, though the reasons behind any single trade are often mundane. This page shows a delayed snapshot of recent qualifying Form 4 open-market transactions, filtered to a $100,000 minimum transaction value over a rolling 30-day window.

How to read it

Only open-market purchases and open-market sales are included, filtered from the full Form 4 disclosure, which also covers grants, option exercises, and tax-related withholding that don't reflect a discretionary buy or sell decision. Each row shows the insider's name and title, the transaction side, the reported value, and the transaction date as filed. A large insider purchase is generally a stronger signal than a sale, since insiders sell for many routine reasons: diversification, tax planning, scheduled 10b5-1 plans, but rarely buy without genuine conviction. This page reflects a rolling 30-day window at $100,000 minimum value and does not distinguish routine, pre-scheduled trades from genuinely discretionary ones.

Is an insider purchase a buy signal?

It's one data point among many, not a standalone signal. Insiders have information advantages but also ordinary personal financial reasons to trade, and a single purchase can be small relative to their total holdings.

Why are insider sales less informative than purchases?

Insiders sell for routine reasons unrelated to company outlook: funding a home purchase, diversifying concentrated stock wealth, or following a pre-scheduled trading plan set up months earlier. Purchases carry no such routine explanation.

What's excluded from this list?

Stock grants, option exercises, and tax withholding transactions are excluded. Only discretionary open-market buys and sells are shown, and only above a $100,000 transaction value.

Insiders have up to a few business days to file after a transaction, and this page is refreshed roughly hourly on top of that filing delay, see the freshness line for the exact snapshot time.
